1. The work
Contractor will perform the following services for Company (the "Services"):

2. Payment

3. Independent contractor status
Contractor is an independent contractor, not an employee. Contractor controls how and where the work gets done, may work for others (subject to Sections 5 and 6), receives no benefits, and has no authority to sign anything or make promises on Company's behalf.
4. Ownership of work โ the critical part
- All work product Contractor creates for Company under this agreement โ code, designs, copy, documents, and anything else โ is work made for hire and belongs to Company from the moment it's created.
- If any work product doesn't qualify as work made for hire, Contractor assigns all rights in it to Company, fully and forever, and will sign any documents needed to confirm that.
- Contractor keeps ownership of pre-existing tools and libraries it brings to the work, and grants Company a permanent, royalty-free license to use them as part of the deliverables. Contractor will list any such pre-existing materials here: [List or "None"].
- Contractor will not include anyone else's proprietary material (including code under restrictive licenses) in the deliverables without Company's written approval.
5. Confidentiality
Contractor will keep Company's non-public information โ clients, pricing, processes, code, plans โ confidential, use it only to perform the Services, and return or destroy it when the engagement ends.
