1. The arrangement

Referrer will introduce potential clients to Provider. When a referral becomes a paying client, Provider pays Referrer a fee. Referrer is an independent party — not Provider's employee, agent, or partner — and cannot negotiate, sign, or promise anything on Provider's behalf.

2. What counts as a qualified referral

A "Qualified Referral" is a person or business that meets ALL of these:

  • Referrer introduces them to Provider by [email introduction / submitting their info with their permission];
  • they are not already in Provider's pipeline (Provider will say so within [5] business days of the introduction if they are);
  • they sign an agreement with Provider within [6] months of the introduction; and
  • they make their first payment to Provider.

3. The fee

  • Fee: [10]% of [pick one: "the first invoice paid" / "all fees the client pays in their first [12] months"], net of refunds, taxes, and third-party costs.
  • Paid within [15] days after Provider actually receives the underlying client payment.
  • If the client is refunded, any fee already paid on the refunded amount is credited against future fees.
  • Provider will report referral status honestly and, on request (max [twice] a year), share enough records to verify fees for Referrer's referrals.

4. Ground rules

  • Referrer will only refer contacts who have consented to the introduction. No spam, no purchased lists, no misrepresentation of Provider's services or pricing.
  • Referrer will not claim to be Provider or use Provider's name, logo, or materials except as Provider approves in writing.
  • Both sides will comply with applicable laws. If a referral type requires a license either side doesn't hold (e.g., certain financial or insurance referrals), it's excluded from this agreement.
  • Provider always decides, in its sole discretion, whether to accept any referred client.
