Website & App Development Agreement
Developer: [Your Name / Company], based at [Address] ("Developer") Client: [Client Name / Company], based at [Address] ("Client") Date: [Date]
1. The project
Developer will design and build: [describe it concretely, e.g., "a marketing website of up to 6 pages (Home, About, Services, Pricing, Blog index, Contact) built on [platform], responsive on mobile and desktop"] (the "Project").
Included: [e.g., "design in Figma, development, contact form, basic on-page SEO, deployment to Client's hosting"] Not included: [e.g., "copywriting, logo design, content migration beyond X posts, ongoing maintenance, paid plugins/licenses"]
2. Technical scope
- Supported browsers: latest two versions of Chrome, Safari, Firefox, and Edge.
- Supported devices: common phone, tablet, and desktop sizes. Pixel-perfection on every device is not promised; consistent, professional rendering is.
- Third-party services (hosting, fonts, plugins, APIs) are chosen with Client's approval and paid for by Client. Developer is not responsible for third-party outages or price changes.
3. Price and payment
- Total: $[Amount]
- [40]% deposit to book the project and begin work
- [30]% at design approval
- [30]% at launch (or at delivery, if Client delays launch)
Invoices due within [14] days. Work pauses if an invoice goes [14]+ days overdue; the schedule shifts by the pause.
4. Content and the disappearing-client clause
Client will deliver all content (text, images, logins) by [Date]. If Client goes quiet:
- If Client is unresponsive for [21]+ days, Developer may invoice for all work completed to date, and the project goes dormant.
- Reviving a dormant project costs a restart fee of $[Amount] and gets rescheduled around Developer's then-current workload.
- If the project stays dormant for [90]+ days, it is considered terminated by Client (Section 9 applies).
5. Design approval and revisions
Design includes [2] revision rounds. Once Client approves the design (email approval counts), development begins; design changes after approval are billed as Change Orders at $[Rate]/hour.
6. Acceptance and launch
When Developer delivers the completed Project, Client has [7] days to test and report defects. Defects (things that don't work as specified) are fixed free. New requests (things that were never in scope) are Change Orders. The Project is accepted when Client says so, when the [7] days pass without a defect report, or when Client launches it โ whichever comes first.
